2(a). BUYING TICKETS

Buying tickets In order to buy tickets from the Eventsrail website, the buyer must follow the ordering process set out on the Eventsrail website. A contract will form between the buyer and the seller of the tickets and be binding on both parties when the buyer accepts the seller's offer as detailed on the Eventsrail website. The buyer must comply with the payment terms of the ordering process. The buyer must also provide Eventsrail with a correct email address.

The buyer may contact Eventsrail if, following acceptance of the seller's offer to sell tickets, no order confirmation is received within 24 hours of the acceptance by the buyer.

Subject to the provisions of these terms and conditions, once the buyer has accepted the seller's offer, the order is final and cannot be cancelled by the buyer or the seller.

Fraud control An order may be cancelled by Eventsrail within 2 working days (calculated in accordance with working practices in Nigeria) if there are reasonable grounds for Eventsrail to suspect fraudulent activities in respect of the order.

Prices Eventsrail has no responsibility for the price of the tickets being sold on the Eventsrail website and prices are entirely at the seller's discretion. Prices offered by sellers on the Eventsrail website do not cover (i) the transactions fee if any; (ii) delivery costs; (iii) any applicable VAT and (iv) any other costs or taxes which are applicable at the time, all of which are payable by the buyer in addition to the ticket price.

2(b). SELLING TICKETS

Selling tickets In order to sell tickets on the Eventsrail website, the seller must follow the selling process set out on the Eventsrail website. FREE events are free of charges but NON FREE events attract a fee per ticket as contained in How it works (http://www.eventsrail.com/pricing).

Eventsrail reserves the right to review ticket fees and charges at our discretion. You agree that Eventsrail shall deduct ticket fees and charges before making payouts to Sellers. We make payouts according to schedule as contained in How it works (http://www.eventsrail.com/pricing). However, the seller can request for ticket payouts anytime the seller deems fit.

Eventsrail reserves the right to terminate the account of any seller who do not comply to our terms and conditions. Eventsrail will report any fraudulent activity to appropriate law enforcement agencies.

3. INFORMATION ABOUT THE TICKETS

Parties in agreement Eventsrail shall not be held responsible for transactions taking place on the Eventsrail website between buyers and sellers, nor does it accept any form of ownership of or risk in the tickets that are offered for sale by sellers on the Eventsrail website.

Alterations Eventsrail shall not be held responsible for any changes with respect to the event to which the tickets bought by the buyer relate. Other than as set out in the buyer guarantee Eventsrail shall not be responsible in any way for information regarding seat allocation of tickets which has been provided by the seller to the buyer.

4. PAYMENT AND DELIVERY OF TICKETS

Payment Payment is made by the buyer to Eventsrail in one of the ways and using one of the methods indicated by Eventsrail from time to time. The buyer authorises Eventsrail to charge the credit card or debit card indicated by the buyer with an amount that is equal to the price, transaction fee and delivery costs. Eventsrail is entitled to charge the applicable VAT on its costs as well as any other taxes which are applicable at the time. The authorization given by the buyer remains valid until the order in respect of which the authorization has been given has been fulfilled by both the buyer and the seller or the order has been cancelled. Payment of the order will be taken immediately by Eventsrail.

Delivery of tickets Tickets are dispatched, unless otherwise specified, to your account/profile and also to the buyer's email which the buyer can print at any time by Login into your account and Click Print Tickets. Other delivery methods like courier and physical delivery are currently being considered. Please print your tickets and bring to the event. Simple.

Non-compliance Eventsrail is not involved in the actual transaction between buyer and seller and has no responsibility in respect of the transaction. If the tickets received by the buyer do not meet the description of the tickets given by the seller on the Eventsrail website, the buyer shall be entitled to compensation or replacement tickets or better tickets in accordance with the buyer guarantee (http://www.eventsrail.com/buyer_guarantee):.

Failed attendance due to buyer If a ticket buyer does not attend the event to which the tickets relate will be at the risk and expense of the buyer.

Conformity of the tickets with the seller's description Eventsrail shall not be held responsible if the tickets printed are not valid and/or do not confirm to the seller's description of the tickets. Eventsrail merely makes the Eventsrail website available for the purchasing and selling of tickets. Should the tickets purchased by the buyer fail to provide access to the event or not meet the description of the tickets given by the seller, then the buyer will be entitled to a refund in accordance with the buyer guarantee: (http://www.eventsrail.com/buyer_guarantee).

5. GUARANTEES AND LIABILITY

Event Cancellation It is at the risk of the buyer should an event for which a seller has sold tickets be cancelled if such cancellation is not attributable to the actions of the seller. Where cancellation is attributable to the seller, the buyer shall be entitled to refund in accordance with the buyer guarantee: (http://www.eventsrail.com/buyer_guarantee).

If an event is rescheduled and the tickets remain valid for the rescheduled date, the buyer will have no right to a refund or exchange in respect of the tickets purchased for the rescheduled event.

However, when buying tickets on Eventsrail, your purchase is insured in accordance with the terms and conditions set out on: (http://www.eventsrail.com/buyer_guarantee) If you become aware that any of the specifics (time, date, and venue) of your event have changed or if the event is cancelled and you are therefore unable to attend, please contact info@eventsrail.com immediately.

Buyer Guarantee The Eventsrail buyer guarantee applies to any tickets purchased by the buyer from the Eventsrail website: (http://www.eventsrail.com/buyer_guarantee).

Liability Limitation To the fullest extent permitted by law, Eventsrail shall have no liability to the buyer or any third party in respect of use of or reliance upon the services, the website, any malfunction of the services or the website or the offer of or sale of the ticket(s) by the seller to the buyer.

Consequential Damage Eventsrail explicitly disclaims any responsibility for any special, consequential, incidental or moral damage including but not limited to indirect damage and damage which may be caused by services, the website or malfunction of the service or website provided by Eventsrail. When exclusion or limitation of consequential or incidental damages is not permitted and in all other circumstances the liability of Eventsrail is limited to no more than the total purchase price of the tickets purchased by the buyer.

6. GENERAL

Safeguard Eventsrail is not involved in the transaction between a seller and the buyer. Should a conflict arise between a seller and the buyer, then this agreement will safeguard Eventsrail and all managers, directors, agents, affiliates, partners and employees of Eventsrail and the buyer will be liable to compensate Eventsrail in full for each known and unknown type of claim, demand and damage that result from such disputes or others that are connected with them.

Alterations of agreement Eventsrail reserves the right to alter these terms and conditions for buying and selling tickets at any time and any such alterations will be effective immediately upon publication on the Eventsrail website (unless otherwise stated). Therefore Eventsrail strongly recommends that the buyer checks these terms and conditions each time they intend to purchase tickets from the Eventsrail website.

Use of the Eventsrail website The Eventsrail website is provided "as is" with no guarantee of availability or functionality. Eventsrail reserves the right to adjust, shut down or make temporarily inaccessible the website or any part thereof at any time without prior notification.

No agency The buyer, The Seller and Eventsrail are independent parties and nothing in these terms and conditions in intended to create an agency relationship, partnership or joint venture between the buyer, the seller and Eventsrail.

Privacy Eventsrail guarantees that the personal details of the buyer are saved under strict confidentiality and used in accordance with Eventsrail's privacy policy. Eventsrail has the right to collect data from the buyer and to make such data available to sellers and Eventsrail's strategic partners.

Entire Agreement These terms and conditions and all documents referred to in them, set out the full agreement between Eventsrail and the buyer and override all previous agreements between Eventsrail and the buyer (both oral and in writing).

Variation No alteration, adjustment or addition of a provision of these terms and conditions shall be valid or take effect unless explicitly agreed in writing in accordance with these terms and conditions.

Severance If a provision within these terms and conditions is considered invalid or inapplicable under whatever circumstance, the application in other situations as well as the remaining provisions of these terms and conditions shall remain valid to the fullest extent possible and/or permissible.

Intellectual property The buyer and the seller acknowledge that Eventsrail exclusively owns or is the valid licensee of all the rights, titles and worldwide interests as well as the intrinsic worth of the Eventsrail name and brand and the Eventsrail websites. Eventsrail reserves all rights and the buyer and the seller will not have any right, title or interest in Eventsrail name and brand and the Eventsrail websites other then as expressly set out in these terms and conditions.

Applicable law Nigerian law applies to these terms and conditions. Insofar as deviation from the statutory rules of competence is permitted, the authorised Judge within the State of Lagos shall have the exclusive right to examine any litigation that may arise between Eventsrail and the buyer or Eventsrail and the seller.
